These Terms of Service ("Terms") govern your access to and use of the sygn.ink application and services (the "Service"), operated by Araneum Technologies GmbH. By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

sygn.ink provides a platform for users to upload, manage, and electronically sign documents. The Service includes features for placing signature fields, inviting others to sign, and maintaining an audit trail of the signing process.

2. User Accounts

To use the Service, you must create an account. You agree to provide accurate and complete information and to keep this information up to date. You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Your Content

You retain full ownership of the documents and other content you upload to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive license to access, use, process, and display Your Content solely for the purpose of operating, providing, and improving the Service. We will not use Your Content for any other purpose without your explicit consent.

The Service operates on a credit-based system. Upon registration, you may be granted a certain number of free credits. Each document upload may consume one or more credits. We reserve the right to change our credit system and introduce fees for the Service or certain features at any time. Any changes will be communicated to you in advance.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ARANEUM TECHNOLOGIES GMBH DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7. Legal Validity of Signatures

sygn.ink provides tools to facilitate the creation of electronic signatures. While these signatures include cryptographic verification and a detailed audit trail, Araneum Technologies GmbH makes no representation or warranty regarding their legal validity or enforceability.

Laws governing electronic signatures vary significantly across different jurisdictions (countries, states, and industries). It is solely your responsibility to determine whether a document signed through our Service is legally binding and recognized as valid for your specific purpose and under the applicable jurisdiction. We accept no responsibility or liability for any claim or dispute arising from the non-recognition or invalidity of a signature created through our Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARANEUM TECHNOLOGIES GMBH, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED SWISS FRANCS (100 CHF) OR THE AMOUNTS PAID BY YOU TO US FOR THE USE OF THE SERVICE IN THE PAST TWELVE MONTHS.

9. Termination

You are free to stop using our Service at any time. We reserve the right to suspend or terminate your access to the Service at our discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users of the Service, us, or third parties.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Cham, Switzerland, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

11. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision, in our sole discretion, is material, we will notify you. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
